1. Acceptance of Terms
By accessing or using Meta Ads Manager SaaS (“Service”, “Application”), hosted at https://admanager.bhayaniinnovations.com, you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these Terms, you may not access or use the Service.
These Terms govern your use of the SaaS dashboard, ad metrics sync, alert notifications, and automated rule executions linked to your Meta Developer application connection.
2. Description of Service
We provide a Software-as-a-Service dashboard that connects to your Meta business assets (Ad Accounts, Facebook Pages, Instagram Professional accounts) using Meta's Graph API. The Service allows you to:
- Monitor campaign metrics (spend, CPA, ROAS, click-through-rates).
- Establish rule-based threshold warnings for budget overspending or poor conversion.
- Inspect Instagram Reels and media insights.
- Scan ad creatives to alert you of performance fatigue.
- Execute status switches (pausing/activating campaign assets) when triggered by rules.
3. Accounts, Subscriptions, and Billing
To access features, you must register for an account and maintain an active subscription.
Account Security: You are responsible for safeguarding the credentials you use to access the Service and for any activities or actions performed under your account, including operations initiated by invited teammates or automated rules.
Subscriptions: Fees are charged on a monthly billing cycle. You may cancel your subscription at any time through your Billing Settings. Refund requests are handled at our discretion.
4. Automated Actions & Ad Spend Disclaimer
PLEASE READ THIS SECTION CAREFULLY.
Our Service includes automated features that can pause, activate, or adjust your Meta ad campaigns, ad sets, and ads based on parameters (e.g. CPA thresholds, budget caps) configured by you.
No Liability for Ad Costs: You are solely responsible for all ad spend, fees, and costs incurred in your Meta ad accounts. We are not responsible or liable for any ad charges, overspending, or lost revenue resulting from:
- Actions taken by our automated rules (including failure of a rule to trigger).
- Delays in API synchronizations or temporary network outages.
- Incorrect parameters configured in your budget caps or threshold rules.
5. Meta API Dependency & Compliance
The functionality of the Service relies entirely on access permissions and data formats provided by Meta Platforms, Inc. via the Meta Graph APIs. We are not responsible for service interruptions, data inaccuracies, or loss of features caused by:
- Changes, restrictions, or deprecations in Meta's Developer Policies or API endpoints.
- Revocation of access tokens by Meta or users.
- Meta system downtime or technical rate-limiting.
You must comply with Meta's own terms of service, advertising policies, and developer terms when using our platform.
6. Intellectual Property
The Service and its original content, UI components, custom features, logo designs, and code databases are and will remain the exclusive property of Bhayani Innovations. The trademarks, logos, and graphics of Meta, Facebook, and Instagram remain the property of Meta Platforms, Inc.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Bhayani Innovations, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.
